Distance Sales Agreement and Pre-Contractual Information

1. Parties

Seller / service provider:

Buyer: the natural or legal person purchasing a Prefux Business Suite subscription. The buyer's name, email address and business name are those entered into the panel when the account is created and linked to the order record. Because the service is delivered digitally and there is no physical delivery, no delivery address is requested.

2. Subject of the agreement

This agreement sets out the rights and obligations of the parties in relation to the sale of the Prefux Business Suite software subscription ordered electronically by the Buyer through app.prefux.com, in accordance with Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation.

The Buyer acknowledges having read the whole of the pre-contractual information on this page before ordering, and that confirming the order places them under an obligation to pay.

General rules on using the service are set out in the Terms of Use, and processing of personal data in the Privacy Policy; both form an integral part of this agreement.

3. Characteristics of the service and the price

• Type of service: cloud-based business software accessed over the internet, requiring no installation (sales, inventory, restaurant, courier, finance and reporting modules).
• Method of delivery: there is no physical delivery. The service is made available electronically and immediately once payment is confirmed.
• Subscription period: monthly or annual. An annual period gives 12 months of service for the price of 10.
• Price: the amount displayed in the panel at the moment of ordering and shown in the order summary. All prices are in Turkish Lira and include VAT.
• Scope: the subscription fee is determined by the module set the Buyer selects. The order summary shows which modules are included.
• Additional costs: there are no shipping, installation or delivery costs beyond the subscription fee. Internet connection, devices, printers and payment terminals belong to the Buyer.
• Compatibility requirements: the web panel works with any current desktop or mobile browser. The mobile app supports iOS 15.0 and above and Android 6.0 (API 23) and above. The service requires an internet connection; when the connection drops, POS sales are queued on the device and sent once it is back, while the other modules do not work offline. Businesses wanting to use a receipt printer additionally need to install a print agent.

4. Payment and performance

• Payment is taken in advance by credit or debit card through the secure payment page of iyzico Payment Services.
• The card number and security code never reach Prefux and are never stored by Prefux.
• The subscription starts and access opens the moment payment is confirmed. There is no additional waiting or delivery period.
• The invoice is issued using the details provided during ordering. You can access it from the panel, or request it at info@prefux.com.
• If payment is declined or reversed by the bank, Prefux's obligation to perform ends.

5. Free trial period

Each business may use the trial once. If no purchase is made at the end of the trial, access stops; business data is preserved for the period stated in section 6 of the Terms of Use.

6. Right of withdrawal

Under Article 15/1(ğ) of the Turkish Distance Contracts Regulation, the right of withdrawal cannot be exercised for services performed instantaneously in an electronic environment.

A Prefux Business Suite subscription is a service performed instantaneously in an electronic environment the moment payment is confirmed. By confirming the order, the Buyer knowingly accepts that they have expressly consented to immediate performance and that the right of withdrawal therefore does not arise.

Where the Buyer acts as a merchant, within the scope of their commercial or professional activity, consumer legislation does not apply; in that case the relationship between the parties is governed by general provisions and the Terms of Use.

7. Cancellation and refund terms

Cancellation. You can cancel your subscription at any time, from the panel, in a single step and without needing to talk to us.

• Cancellation takes effect at the end of the current period. You continue using the service you have paid for until the period ends.
• If you change your mind before the period ends, you can undo the cancellation from the panel.
• At the end of the cancelled period the subscription closes and the stored card key kept for automatic renewal is deleted.
• The fee for a period that has already started is, as a rule, not refunded for cancellations made mid-period; the service continues to be provided until the end of that period.

Right of termination for Buyers who are consumers. Because the subscription renews automatically, it is of indefinite term. Under Art. 52 of Turkish Law No. 6502, a consumer may terminate an indefinite-term subscription contract at any time, without giving a reason and without paying a penalty. You can terminate in a single step from the panel, or write to info@prefux.com; your request is carried out within 14 days at the latest, and any amount relating to an unused period is refunded.

Refunds. We issue refunds in the following cases:

• Duplicate or incorrect charges — refunded in full as soon as identified, without you having to ask.
• A material service interruption attributable to Prefux and not resolved within a reasonable time — a refund proportionate to the interruption, or an extension of the period.
• Other cases — refund requests sent to info@prefux.com are assessed, and the outcome is communicated within 14 days at the latest of the request reaching us. Where a request is upheld, a partial or full refund may be issued.

Approved refunds are made to the same card and by the same payment method used for the original payment, through iyzico. How long the amount takes to appear on your card account depends on your bank and is outside Prefux's control.

8. Automatic renewal and price changes

• If you choose to save your card during purchase, the subscription renews automatically at the end of each period and that period's fee is charged.
• If you do not save your card, there is no automatic renewal; you pay from the panel each period.
• The way to stop automatic renewal is to cancel the subscription (section 7); once cancelled, no renewal takes place at the end of that period.
• We announce price changes by email before they take effect. The new price applies from the first renewal period after the notice. If you do not accept it, you can cancel before the renewal occurs.
• While a paid period is running, adding and removing modules both take effect at the end of the period; no pro-rata amount is charged or refunded for the remainder. The changed price applies from the next period. During the trial, changes take effect immediately.

9. Failed payments and suspension

If a renewal payment fails, it is retried three times — on the due date, 2 days later and 4 days later — and you are notified by email each time. After the third attempt the subscription is suspended. A 5-day grace period is granted after the period ends; if payment is completed within it, the service continues without interruption.

Business data is not deleted for suspended subscriptions; it is preserved for the period stated in section 6 of the Terms of Use, and access reopens once payment completes.

10. Dispute resolution

You can send requests and complaints to info@prefux.com or to the phone number in section 1. We undertake to conclude applications within 14 days.

Buyers qualifying as consumers may apply to the Consumer Arbitration Committee or the Consumer Court of their place of residence or of the place where the transaction was made, within the monetary limits set annually by the Turkish Ministry of Trade.

For Buyers acting as merchants, the Courts and Execution Offices of Alanya have jurisdiction. This agreement is governed by Turkish law.

11. Entry into force

This agreement is concluded and enters into force when the Buyer confirms the order electronically. The text in force is kept permanently accessible on this page; you can request a durable copy at info@prefux.com.

The date at the top of this page reflects the version in force. Changes to the text of the agreement apply to orders placed after the change; they are not applied retroactively to agreements already concluded.
